Legal help can be confusing if you run a small business, but in this video you'll learn about three common legal mistakes small business owners make -- and how to avoid them. 1. Business Structure. Should your business be an LLC or S Corp? Get legal help from a lawyer about what option is best for your business, since they can help you figure out what will be best for your taxes as well. Many people think that a lawyer is going to cost a lot of money, but most people would rather pay for solving a problem than preventing one. 2. Protect Yourself And Your Offerings. It's very important your terms are outlined in something written. Make sure that your contracts have protection for your IP, disclosure of your programs and content, clear terms as to refunds and how to terminate the contract. It's also important to make sure your contracts have disclaimers in them. It's important to have what you are in the contract but even more importantly what you're NOT. Legal help from an attorney will show you exactly what your contracts and terms should include. 3. Your Business Relationships. An independent contractor's agreement serves as additional proof that you have this arrangement with the people working for you. In this type of agreement, you should outline their duties, how they are being paid and when. A non-disclosure clause protects your confidential information, and explains the fact that they're an independent contractor and not an employee. And a final bonus tip: If you are in the U.S. and you pay an independent contractor over $600, you're going to have to issue them a 1099. Make sure you have their W-9 form when they come on-board so you don't have to try and get it from them later! [email protected] | 720-379-3425 What The Heck is an S Corporation?: https://youtu.be/i5to7Da3wMw Top 10 Things Every LLC Needs: https://youtu.be/T826TLGEK9w The three most common types of structures for a small business are the sole proprietor, LLC, and corporation. These are by no means the only options for business structure; there are many more options out there (e.g., general partnerships, limited partnerships, limited liability partnerships, cooperatives, non-profit corporations, etc.). If you are operating as a sole proprietor, this means that you have not really formed any legal structure of a business entity. If you are just an individual making income from providing services or selling products and you have not registered anything with your state, then you are already operating as a sole proprietor. If you are operating under a trade name (e.g., if I am operating a lawn mowing service under the name “Aiden’s Lawn Mowing Service,” that would be the trade name), then you should file a Statement of Trade Name with the Secretary of State in order to register the fact that you are operating under that trade name. However, just because you file your trade name does not mean that you are an LLC or any kind of entity; you are still just a sole proprietor. The LLC is the most popular entity formation and that is because (in Colorado, at least) an LLC is inexpensive and relatively simple to start and run. To form an LLC, all you have to do is file Articles of Organization with the Secretary of State (or whatever agency operates business organizations in your state) and boom! you've got yourself an LLC. Of course, there are other things you need to do to make sure your LLC is going to protect you personally and to avoid piercing the corporate veil. Similar to a sole proprietor, all of the income to the business is taxed as if it were personal income to the business owner. Finally, the biggest difference between an LLC and sole proprietor is that an LLC does give you that liability protection. So, if there is a lawsuit, or if the LLC is subject to some liability, then you as the business owner should be personally protected and your personal assets would most likely be safe from those liabilities. When I say "corporation" in this context, I am referring to a C-Corporation specifically. (I'm going to touch on the S-Corporation in just a minute.) The corporation is a little bit more complicated and expensive to set up, but there are some instances where it would be useful to have a corporation. First, it’s important to know that there are three groups of players in a corporation: Shareholders, Board of Directors, and Officers. Shareholders are basically the owners; they own shares of the corporation. The Board of Directors is responsible for making decisions about the operation of the corporation. And the Officers are generally those that are actually participating in the business and managing the business and all of its activities. Despite these various players, a small business can still form as a corporation and the Shareholder, Board of Directors, and Officers can all be one person. In other words, one person can hold multiple positions within the corporation. To create a corporation, you will need to file Articles of Incorporation with the Secretary of State. You will also need to write Bylaws, which are essentially the same as an Operating Agreement. The Bylaws say how the corporation is going to be run and managed and operated. If there are going to be multiple shareholders, then you will probably also want to have a Shareholder Agreement. One of the biggest drawbacks of a corporation is that corporations are subject to double taxation. When money comes into the business it is taxed at the corporate rate as income to the corporation, then when money is distributed to the shareholders, it is taxed again as dividends to the shareholders. Finally, just like an LLC, the corporation provides liability protection to the Shareholders, the Board of Directors, and the Officers in most instances. Thumbs up & subscribe if you want more AUIYB! PERIOD. No discussion. #8 - Inadequate people skills - Proper risk management takes teamwork. We have to be able to work well with others to prevent and/or reduce risk. #9 - Superperson syndrome - see #8, risk management takes a team, you can't do everything yourself. #10 - Failure to document - this stuff needs to be in writing. #11 - Lack of creativity - sometimes you have to think outside the box to find solutions to risk management problems. You have been slugging away for several years and now you are finally in the black and you want to start thinking about retirement. You know that you need to save, but as a business owner you have a plethora of different retirement plan options that as an individual you didn't. If you are confused and bewildered and not sure what direction to go, I completely understand. I was in the exact same situation as you. I was a W2 employee, and then when I became a small business owner I now had many different options that I could choose from and initially it was overwhelming. It was easier doing it for the client, but now that I was actually on the business owner's side of things, the 1099 independent contractor side of things, I now wanted to make sure that I was doing the best retirement plan for me. If you are looking to see what retirement plan is best for you, here are a few options to consider: 1. A traditional or Roth IRA. Now I am sure you are probably wondering, "Well Jeff, I could do that when I was an individual. What is the benefit for me doing it as a business owner?" Well here's the thing; the beauty of doing a traditional or Roth IRA, if you are not putting money in those plans at all, and maybe you are profitable but you are not as profitable as you would like to be, under the age of 50 and under you can still put in $5,000 on either the traditional or Roth IRA. At least that is a good starting point. Now, if you can put in more than that 5,000 then we'll start looking at the other options coming up. 2. A simple IRA. The name is a little bit misleading because to me it is not quite that simple. Here is the general gist: You're able to put in up to $11,500 per year into the simple IRA. Over the age of 50 is allowed a $2,500 catch up. But if you have employees, here is where it gets a little bit trickier. To make it simple, just know that you're going to have to put in about 3% of your employees' wages as an employer contribution. That is how much, as a business owner, you're going to be out for each employee. There are certain rules that say you can dip below that 3% over a 2-out-of-the-5-year period, but I don't want to muddy the waters too much. Just know that for the most part you're going to have to put in about 3% of your employees' salary to be able to contribute the 3% for yourself as well. Now that might sound a little bit confusing and it kind of is, but if you go to the blog and do a Google search for "simple IRA rules", you'll find out more about the simple IRA and see if that applies to you.

Facebook is not your company, and while it's one of the best ways to market your business today, it might not be so popular in the future. Gone are the days of static websites you post and get gobs of traffic overnight. You probably won't even be able to get your own domain name for your brand. You don't have to change it everyday, or you can hire someone on Freelancer to create content for you on a regular basis for a song and a dance. Remember that cousin that builds websites? You probably shouldn't hire him! LOL I laugh because I've heard that so many times and the company in question has a website that is awful. Follow closely with me to avoid the pitfalls of a bad website, games custom website developers and SEO companies play to extract your cash from your bank account. It's mind boggling to me some of the travesties that I see when it comes to website design and development. This is one of the most important investments you can make in your business. Get an effective website, you'll make more money in your business. Period. Get a bad website or SEO company, and it can harm your brand or become a money pit for search engine optimization companies that are more than willing to steal your money. How to File a DBA or Fictitious Business Name?
Naming your business is an important branding exercise, but if you choose to name your business as anything other than your own personal name then you’ll need to register it with the appropriate authorities. This process is known as registering your “Doing Business As” (or DBA) or it’s also known as a “Fictitious Business Name.” A DBA (or fictitious business name) is a business name that is different from your personal name, the names of your partners or the officially registered name of your LLC or corporation. It’s important to note that when you form a business, the legal name of the business defaults to the name of the person or entity that owns the business, unless you choose to rename it and register it as a DBA name. For example, Bob Smith sets up a painting business. Rather than operate under his own name, B instead chooses to name his business: “Bob Smith Dry Cleaning”. This name is considered an assumed name and Bob will need to register it with the appropriate local government agency. Step 4: Phone the IRS's Business Tax Line to get an EIN Phone the IRS's Business and Specialty Tax Line as another method of getting an EIN immediately. Provide your business name and address and other basic information. Tip Call (800) 829-4933 during weekday work hours to reach the IRS's Business and Specialty Tax Line. Step 5: Get a copy of IRS Form SS-4 Get a copy of IRS Form SS-4 from the IRS web site or from your local library as another method of applying for a tax ID number. Step 6: Complete and mail the form to the IRS Complete the form, providing basic information about your business. Mail the form to the IRS, and receive your tax ID number in the mail in approximately 4 weeks. Step 7: Use your EIN on tax and other business forms Use your EIN when filing taxes, opening a business checking account or line of credit, or completing any other business-related contracts. Great - what next? Many new entrepreneurs simple do not know what to do to start a business, how to create your own company, or how to found a company with a virtual minefield of legal issues for entrepreneurs to deal with. Now this video doesn't have all of the answers but it will cover some of the more common mistakes or oversights that many entrepreneurs and new business owners make. Do you know if you need to register a trademark or servicemark? Do you even know the difference. Do you need a business licence? What sort of business insurance should you get. Video Overview The video starts from when you have registered with the Secretary of State and you have incorporated your new business and are ready to go. One the first things you need to look into next is a business licence. You usually file for a business licence with the local authority/business centre in your usual place of business. Some jurisdictions require that your business licence should be displayed. There are also some counties that have special licences for home based businesses. There are fees associated with getting your licence. If you are professional eg Lawyer, Accountant then the licence is usually a flat fee. For other businesses it is often based on estimated revenues. Do you need a trademark of servicemark? If you have a trademark you are selling a product and a servicemark you are service. You need to protect this at both the state and federal levels. It is very important to file for your trade name. There are penalties and fines is you do not register and trade under a different name than the one you used to incorporate the company. You could consider Buy sell agreement. A buy–sell agreement, also known as a buyout agreement, is a legally binding agreement between co-owners of a business that governs the situation if a co-owner dies or is otherwise forced to leave the business, or chooses to leave the business. It is a bit like a will for your business. An insured buy–sell agreement (triggered buyout is funded with life insurance on the participating owners' lives) is often recommended by business-succession specialists and financial planners to ensure that the buy–sell arrangement is well-funded and to guarantee that there will be money when the buy–sell event is triggered. If you are setting up the business with others then you should have partnership and operating agreements.
