This video is a brief overview of the most common licenses, permits and registrations a business may need, but it may not include all of ones needed for your business. The first registration you may need to get is the employer identification number, sometimes known as an EIN with the Internal Revenue Service. This is a unique identification number for a business, much like what a social security number is for a person. Businesses that are required to register include sole proprietorships with employees, partnerships, corporations or LLCs. If you are a sole proprietorship with no employees, you can simply use your social security number. You can apply directly at irs.gov and there is no cost to get the number. Getting the number takes only about 5 minutes and if you have questions, we have a video on how to apply for an EIN on our site. Next, there is no general state business license in Georgia but, there are some industries that are required to register. A variety of businesses and professions in the state are regulated such as home inspectors, landscapers, veterinarians, day cares and many more. Also at the state level, businesses selling products at retail need to obtain a Sales Tax Identification Number. Most services aren’t taxable, but some are. For more information about what is taxable and to register for the Sales Tax Number, visit the Georgia Department of Revenue. Last, at the local level, some municipalities may require a business license or have requirements for certain professions, zoning, construction, signage, liquor licenses, etc. Make sure your business secures all licenses in advance of finalizing a location as some will take some time to get approval. Finding the correct person to talk with in your community may take a few calls, but just start by contacting your town’s mayor, city hall or economic developer and let them know you plan on starting a business and if you need to register. Don’t be worried in calling as they want to help bring in new businesses since businesses bring jobs and tax revenue to the community. Jen discovers information about tax breaks, academic research and export assistance as she looks for ways to grow her company. Last year, the department’s director of small business, Mary Ellen McClanahan, directly assisted 1,300 companies and advised 150 communities and organizations. The Centers of Innovation connected and assisted nearly 4,000 Georgia companies during 2014, up 30 percent from the previous fiscal year. And the International Trade division received the Presidential “E Star” Award, the nation’s highest honor for excellence in providing export programs and services. More than 14,500 Georgia companies exported $37.6 billion in goods and services to 230 countries and territories in 2013. In FY 2013, GDEcD’s International Trade division worked with 1,346 companies in Georgia. Work with these companies resulted in 420 export deals that were valued at $35.9 million. These are just a few of the reasons why Georgia is consistently ranked as the top state for business.

To research names: - Go to the United States Patent & Trademark Office at uspto.gov. - When you get to uspto.gov click on Trademarks. - Click on the Search Trademark Database. - Next click on Basic Word Mark Search. - In the Search Term field type in the business name you want to use. There are a number of listings that will likely come up. If the name you want to use shows up with a live status, this would be a cause for concern because someone has a registered trademark. There may be similar names that incorporate the name you want to use, which could be close enough to keep you from using that name. If you do a search and your name you want is registered, you may want to consider getting professional help from an attorney or service that specializes in intellectual property and/or trademarks. If you don’t, you may invest a lot of time and money establishing a business name that you may have to abandon. Once the trademark search is out of the way, the process of registering a business name will vary depending on the type of organization chosen. For sole proprietorships or partnerships there are two options. One is to operate under the owner’s full first and last name, like John Smith. This type of name does not need to be registered. Most businesses will however want to operate under a trade name like John Smith’s Handyman Service, Mr. Handyman, and so on. The term trade name is sometimes referred to as fictitious business name, doing business as, DBA or assumed name. Applying for this type of name allows your business to legally operate and transact business with a name other than your personal name. To register a business name for a sole proprietorship or partnership file the Assumed Name Registration with the Clerk of Superior Court in the county where the business will be located. A few counties allow for online registration or have the form for download, but most of them require you to go to the office in person. Next, check to see if the trade name is being used in the county where your business is located by checking the Trade Name books as the name you choose must be unique. After verifying the name is unique, be sure the form is signed in the presence of a notary public. Last an advertisement is required to be run in a newspaper that has county-wide distribution once a week for two consecutive weeks. The fee for filing varies between counties between $100 and $150. The ad will run anywhere between $30 and $100. To register a name for a corporation or LLC, you must also have a unique name at the time of filing. To check the availability of names, visit the Georgia Secretary of State’s website. While nobody else can form a corporation or LLC with your business name in Georgia, someone else could still legally use your business name. Regardless of which entity you use to register your business name, registering does little to stop anyone from using your name. To keep others from using it, consider getting a trademark. Once Nika Machado and her husband, Marlon, decided to start a business, the first place they went was to Nika’s mother for advice! With her mom, Gretchen previously owning a small catering business and Marlon previously owning a restaurant in Brazil, it was a no brainer that they concluded with the idea of starting their own restaurant. As starting a restaurant is particularly difficult, they had trouble finding loans from multiple banks. The business organization is a type of business ownership or legal framework of an entity that is engaged in commercial activity. There are four primary types of business organization that a small business owner will choose from which include the sole proprietorship, partnership, corporation or LLC. Each entity has its own set of pros and cons and each has some considerations that may make one better than another for you and your business. The considerations include the cost of forming the entity, liability protection, ability to get investment, tax burden, administrative requirements and the complexity of formation. The sole proprietorship is basically an individual who decides to go into business for themselves. There is no separate legal entity as the business is tied to an individual, making the business and the individual the same legally. Forming a sole proprietorship is pretty simple. Since there is no official state filing, you can decide to go into business right away as a sole proprietorship and be in business. We will cover other details for starting a sole proprietorship in later videos and at StartingYourBusiness.com that may have to be done like registering a business name and applying for licenses and tax numbers. The next entity is the partnership, which is a business owned by two or more individuals. The partnership is very similar to the sole proprietorship in that there is no legal entity and the owners have unlimited liability. The corporation is the third of the four business entities and is completely different from the sole proprietorship or partnership because now we have a legal entity that is separate from the owners. The corporation has several pros and the most important pro is that a corporation is a distinct legal entity and the owner’s personal assets are separate from the business assets. This is useful because if the business is sued, the owner’s personal assets are typically safe. There may be some tax benefits but the main reason for forming a corporation or LLC for that matter is the liability protection. Another pro is that the corporation has unlimited life which could be useful in situations where there are key contracts or licenses that would benefit from continuity between owners. The corporation can also sell shares of the business and raise money from investors instead of relying only on debt like a sole proprietorship or partnership. Corporations can be owned by a single owner or multiple owners. The last entity that we will talk about is the Limited Liability Company or LLC. Just like the corporation, the LLC is a legal entity that is separate from its owners. The LLC shares all of the pros of the corporation like being a separate legal entity, unlimited life, and raising investment capital, but with the LLC, you don’t have to hold meetings, take minutes, and so on, making the LLC much easier to run than the corporation. It can be a little overwhelming and confusing to pick the perfect entity for your business, but keep in mind, that the entity you choose today does not have to be a forever decision as you can change to a different entity later on. Tip #2 Have 90-120 days operating capital on hand before starting Trucking is not an inexpensive business to start. Truck payments, registrations, insurance and definitely fuel will drain your bank account even faster than my wife can drain mine! Even in a best-case scenario, you will not get paid for hauling a load within 60 days of doing the work; most shippers and brokers pay anywhere from 90-120 days after, and during those days, your wheels still need to be turning. One of the biggest reasons for new venture failure is a lack of good financial planning, so protect yourself from that pitfall and you'll increase your likelihood of long-term business success. Tip #3 Improve your credit rating Speaking of good financial planning...do you know what your credit score is? There are many internet sites where you can get a credit report, such as freecreditscore.com; make sure you check your report for accuracy prior to startup and dispute any discrepancies. Truck dealers, insurance underwriters, and banks will all use your credit score to determine lending and premium rates. A good credit score will make a huge difference in your business's bottom line; and generating profit is a bussiness's primary goal. Get good credit, and keep it good by paying your bills on time, every time. Tip #4 Start Small An entrepreneur, by definition, is a risk-taker; someone who wants control over their future. A smart entrepreneur knows not to take on TOO much...too much risk, too much debt, and too much work! Trust me, as your own driver, manager, bookkeeper and salesman, you will have plenty of tasks to keep you busy in your first 12 months. My advice would be to concentrate on all of those; and not worry yet about hiring new drivers until you've got a very tight understanding and control of your other duties. Besides, no one else is going to take care of your business and your customers as well as you can. Start small, and grow carefully. Tip #5 Pick 3 professional advisers All businesses need outside professional advice; and trucking is a very specialized business. Make sure that your accountant, lawyer and insurance agent all are experienced in handling trucking accounts; this is a bad time to pick your brother-in-law to be your business attorney! All of the outside advisers that you use should be able to provide references of other satisfied trucking clients.
