A Share is a portion of ownership in a company. In order to understand what a share is, we need to understand first what a company is. A Company is a legal entity that allows its owners to conduct business under a separate legal identity, limiting their personal liability. The original founders usually fund the newly created fictional identity with initial resources such as money and in exchange, a share of the control over the company and part of the assets in the new fictional identity are issued. Thus, if five founders contributed $100 for the new company in equal parts; each one will get 20% of the total share of the new company. Shares are usually “Issued” in financial terms. Therefore, if the company issued 10 shares of $10 value, each founder will get from the company 2 shares, $10 each. ► Want to know more? The New York Stock Exchange (sometimes referred to as "the Big Board") provides a means for buyers and sellers to trade shares of stock in companies registered for public trading. The NYSE is open for trading Monday through Friday from 9:30 am -- 4:00 pm ET, with the exception of holidays declared by the Exchange in advance. The NYSE trades in a continuous auction format, where traders can execute stock transactions on behalf of investors. They will gather around the appropriate post where a specialist broker, who is employed by an NYSE member firm (that is, he/she is not an employee of the New York Stock Exchange), acts as an auctioneer in an open outcry auction market environment to bring buyers and sellers together and to manage the actual auction. They do on occasion (approximately 10% of the time) facilitate the trades by committing their own capital and as a matter of course disseminate information to the crowd that helps to bring buyers and sellers together. The auction process moved toward automation in 1995 through the use of wireless hand held computers (HHC). The system enabled traders to receive and execute orders electronically via wireless transmission. On September 25, 1995, NYSE member Michael Einersen, who designed and developed this system, executed 1000 shares of IBM through this HHC ending a 203 year process of paper transactions and ushering in an era of automated trading. As of January 24, 2007, all NYSE stocks can be traded via its electronic hybrid market (except for a small group of very high-priced stocks). Customers can now send orders for immediate electronic execution, or route orders to the floor for trade in the auction market. In the first three months of 2007, in excess of 82% of all order volume was delivered to the floor electronically. NYSE works with US regulators like the SEC and CFTC to coordinate risk management measures in the electronic trading environment through the implementation of mechanisms like circuit breakers and liquidity replenishment points. Until 2005, the right to directly trade shares on the exchange was conferred upon owners of the 1366 "seats". The term comes from the fact that up until the 1870s NYSE members sat in chairs to trade. In 1868, the number of seats was fixed at 533, and this number was increased several times over the years. In 1953, the number of seats was set at 1,366. These seats were a sought-after commodity as they conferred the ability to directly trade stock on the NYSE, and seat holders were commonly referred to as members of the NYSE. The Barnes family is the only known lineage to have five generations of NYSE members: Winthrop H. Barnes (admitted 1894), Richard W.P. Barnes (admitted 1926), Richard S. Barnes (admitted 1951), Robert H. Barnes (admitted 1972), Derek J. Barnes (admitted 2003). Seat prices varied widely over the years, generally falling during recessions and rising during economic expansions. The most expensive inflation-adjusted seat was sold in 1929 for $625,000, which, today, would be over six million dollars. In recent times, seats have sold for as high as $4 million in the late 1990s and as low as $1 million in 2001. In 2005, seat prices shot up to $3.25 million as the exchange entered into an agreement to merge with Archipelago and become a for-profit, publicly traded company. Seat owners received $500,000 in cash per seat and 77,000 shares of the newly formed corporation. The NYSE now sells one-year licenses to trade directly on the exchange. Licences for floor trading are available for $40,000 and a licence for bond trading is available for as little as $1,000 as of 2010. Neither are resell-able, but may be transferable in during the change of ownership of a cooperation holding a trading licence. On February 15, 2011 NYSE and Deutsche Börse announced their merger to form a new company, as yet unnamed, wherein Deutsche Börse shareholders will have 60% ownership of the new entity, and NYSE Euronext shareholders will have 40%. On February 1, 2012, the European Commission blocked the merger of NYSE with Deutsche Börse, after commissioner Joaquin Almunia stated that the merger "would have led to a near-monopoly in European financial derivatives worldwide". Instead, Deutsche Börse and NYSE will have to sell either their Eurex derivatives or LIFFE shares in order to not create a monopoly. On February 2, 2012, NYSE Euronext and Deutsche Börse agreed to scrap the merger. In April 2011, IntercontinentalExchange (ICE), an American futures exchange, and NASDAQ OMX Group had together made an unsolicited proposal to buy NYSE Euronext for approximately US$11 billion, a deal in which NASDAQ would have taken control of the stock exchanges. NYSE Euronext rejected this offer two times, but it was finally terminated after the United States Department of Justice indicated their intention to block the deal due to antitrust concerns. http://en.wikipedia.org/wiki/New_York_Stock_Exchange

What is an IPO? Learn more at: https://www.wallstreetsurvivor.com An IPO is the first offer of a company’s stock on the public market. “Going public” is the sought-after destination of many emerging companies. Traditionally, the IPO has been used as a financing vehicle. Today, it’s a little more complex than that. An IPO can cost hundreds of thousands of dollars — and there’s no guarantee it’ll even become a reality. Why Do Companies Go Public? Going public exposes all kinds of vulnerabilities. Not only does it subject a company to new rules and regulations by various governing bodies, it also opens it up to the risk of takeover. A public company’s shares can be snapped up by anyone — even its competitors. The IPO’s primary reason for existing is to provide liquidity to investors and employees. An IPO also furnishes a company with some collateral that can later be traded upon for future purchases or mergers. The heart of the matter is knowing when. Undertaking an IPO too early can have catastrophic effects on the future health of a business; waiting too long might allow a competitor to steal the thunder. Before deciding whether or not to issue an IPO, companies need to spend some time evaluating the big picture. Earnings per share (EPS) is calculated by taking the net earnings of the company, then dividing by the number of shares of the company. Once you've determined this number, you can then use it to conduct a Margin of Safety Analysis and a Payback Time Analysis. In this video, I discuss why earnings per share is an important metric to know in order to invest in a company, but not the ONLY number you need to know to make a smart investment decision. Case 1 - Understanding a stock /share - Company raising money from pubic (without security ) - ownership for investor -Risky investment LNT wants to raise 1000 rs from public by floating shares ...so it raises 10 stocks priced at 100 Rs each ...note that here it doesn't have to declare any security or promise any return Basically , when you go and buy that LNT share @ 100 rs , you are now a owner of the firm to the extent of the capital invested ....if you keep accumulating shares , you will keep increasing your ownership ....most big firms don't float more than 30 % of their business via equity because they know , if people purchase more than 51 % holding , they actually represent the holding authority of the company and can dictate all decisions concerned with the management In terms of returns , the stock holder fortunes are linked with the company ...if the company does well ,gains business , then net income of the companies grow up , this reflects in the balance sheet and P &L statement and the per share value will thus rise say the prices go to 112 and investor enjoys that growth (rate of return ---say 12 % more than bank rate of interest at 6 % etc )as also the dividend's in case the company decides to let go a part of it's income (profit ) to the investors ....note that the company is under no obligation to do well and provide a rate of return ,however companies normally do so knowing that they will have to raise money in future as well and having a good name in the market is beneficial else else noone will want to lend money to company in terms of investment in shares say company ever decided to go public in the future However for stockholder note ,that in case the company had gone bankrupt , i as a LNT share holder has the least right to any assets of LNT and LNT will first pay of other people whom it had raised capital from i.e loands from banks ,preferential loans , other debt instruments etc and if at all anything remains , then that will be used to meet out shareholder obligations but shareholder cannot demand for his right to the residual remains ------that is why stock or shareholder are usually refeerred to one of the mostr risky investments --.....amlan

FREE COURSE To Start Your Online Business: http://projectlifemastery.com/freecourse/?utm_source=youtube&utm_medium=social&utm_campaign=free-course-promo&utm_term=investing-for-beginners&utm_content=lc-youtube-description In this video, Stefan talks about investing for beginners, and gives advice on how to get started. In particular, he highlights five investment success principles. When Stefan was 18 years old, he read a finance book called, "The Wealthy Barber”, by David Chilton. After reading this book, he realized that the most important thing that he could do was to start investing as soon as possible. The earlier you start investing, the sooner you can make mistakes and learn from them, and you have a higher risk tolerance. Stefan started from nothing, and has been able to build himself up to a millionaire, at 30 years old. Are you ready to invest in your future? It will be one of the best decisions you make! ★☆★ VIEW THE BLOG POST: ★☆★ http://projectlifemastery.com/investing-for-beginners/?utm_source=youtube&utm_medium=social&utm_campaign=blog-post-promo&utm_term=investing-for-beginners&utm_content=lc-youtube-description ★☆★ SUBSCRIBE TO ME ON YOUTUBE: ★☆★ Subscribe ► https://projectlifemastery.com/youtube ★☆★ FOLLOW ME BELOW: ★☆★ Blog ► https://projectlifemastery.com/?utm_medium=social&utm_source=youtube&utm_campaign=homepage-promo&utm_term=investing-for-beginners&utm_content=lc-youtube-description Twitter ► https://projectlifemastery.com/twitter Twitter ► https://twitter.com/stefanjames23 Facebook ► https://projectlifemastery.com/facebook Facebook ► https://www.facebook.com/stefanjames23 Instagram ► https://projectlifemastery.com/instagram Instagram ► https://www.instagram.com/stefanjames23 Snapchat ► https://www.projectlifemastery.com/snapchat Periscope ► https://projectlifemastery.com/periscope iTunes Podcast ► https://projectlifemastery.com/itunes ★☆★ MY PRODUCTS & COURSES: ★☆★ Morning Ritual Mastery ► https://projectlifemastery.com/morningritualmasterycourse/?utm_term=investing-for-beginners Affiliate Marketing Mastery ► https://projectlifemastery.com/affiliatemarketingmasterycourse/?utm_term=investing-for-beginners Kindle Money Mastery ► https://projectlifemastery.com/kmoneymasterycourse/?utm_term=investing-for-beginners 24 Hour Book ► https://projectlifemastery.com/24hourbookcourse/?utm_term=investing-for-beginners Kindle Optimizer ► https://projectlifemastery.com/koptimizercourse/?utm_term=investing-for-beginners ★☆★ WANT TO BE COACHED BY ME? ★☆★ You can apply for my 1-on-1 and group coaching programs here: http://projectlifemastery.com/coaching ★☆★ RECOMMENDED RESOURCES: ★☆★ https://projectlifemastery.com/resources/?utm_medium=social&utm_source=youtube&utm_campaign=plm-resources-page-promo&utm_term=investing-for-beginners&utm_content=lc-youtube-description If you found this video valuable, give it a like. Financial Markets (2011) (ECON 252) Professor Shiller emphasizes the worldwide importance of corporations by looking at World Bank data for corporate stocks as traded on global stock markets. He, then, turns his attention to the concept of a corporation, elaborating on the role of shareholders, the board of directors, and the Chief Operating Officer. He compares and contrasts for-profit and nonprofit corporations. He discusses equity financing of for-profit corporations, covering market capitalization, dividends, share repurchases, dilution, and the difference between common and preferred shares. He discusses, and rejects claims that share issuance is not really important for capital raising in modern times. Professor Shiller concludes this lecture with a discussion of the balance sheets of two well-known corporations, Xerox and Microsoft. 00:00 - Chapter 1. Introduction 00:55 - Chapter 2.
